General Terms and Conditions
Please read the following terms and conditions carefully.
These General Terms and Conditions govern the paid use of the VELDOO software platform by businesses. VELDOO is a product of Steinemann - Taxi GmbH and supports taxi, limousine and patient transport companies in particular with dispatching, booking, fleet management, driver communication and other operational processes.
VELDOO does not provide transport services and does not become a party to contracts that a customer concludes with passengers, clients, drivers or other business partners. This version is intended exclusively for business customers.
1 Provider and scope
1.1 The provider and contracting party is Steinemann - Taxi GmbH, Stettemerstrasse 20, CH-8207 Schaffhausen, Switzerland, UID/VAT CHE-101.400.526, commercial register number CH-290.4.013.665-1. VELDOO is a product and brand of Steinemann - Taxi GmbH. Where these Terms refer to ‘VELDOO’, ‘we’ or ‘us’, they mean Steinemann - Taxi GmbH.
1.2 These Terms apply to contracts with companies and self-employed persons who use VELDOO in the course of their commercial or professional activities. Contracts with consumers are not intended.
1.3 VELDOO is offered in particular in Switzerland, Germany and Austria. We may agree to its use in other countries. The customer is responsible for ensuring that its operational use is lawful in its area of operation.
1.4 Individual offers, orders and service descriptions take precedence over these Terms. A data processing agreement or other data protection agreement takes precedence in matters of data protection.
2 Definitions
2.1 ‘Customer’ means the company or self-employed person entering into the contract for VELDOO.
2.2 ‘Users’ are persons authorised by the customer, in particular administrators, dispatchers, drivers and other employees.
2.3 ‘Platform’ means the web applications, mobile applications, interfaces and related functions provided by VELDOO.
2.4 ‘Customer Data’ means data and content that the customer or its users enter, import, generate or transmit through interfaces on the Platform.
2.5 ‘Third-Party Providers’ are legally independent providers whose services can be connected to or used through VELDOO.
3 Subject matter and services
3.1 We provide the customer with the agreed Platform functions for the duration of the contract. The specific scope of services is determined by the selected plan, the offer, the order and the applicable service description.
3.2 Depending on the plan, VELDOO may include functions for booking, dispatching, the driver app, fleet and customer management, communication, reporting, billing and interfaces. Functions, usage limits or additional services that have not been expressly agreed are not owed.
3.3 We may further develop and technically adapt the Platform, provided this does not materially impair the agreed main service. We will notify the customer of material restrictions in due time.
3.4 Consulting, setup, data migration, training or customer-specific development services are owed only if separately agreed.
4 Contract formation and user accounts
4.1 A contract is formed when the customer accepts an offer or order, completes a paid registration, or when we activate access to the booked Platform. Information on the website does not constitute a binding offer unless expressly identified as such.
4.2 The person registering the customer or placing an order confirms that they are authorised to do so.
4.3 The customer appoints at least one administrator. Administrators can create user accounts, manage permissions and change settings with effect for the customer.
4.4 Registration and company information must be complete and accurate. Access credentials are personal, must be treated confidentially and protected from unauthorised use. The customer must inform us immediately of any suspected misuse.
5 Plans prices and payment
5.1 VELDOO is offered in different service plans, in particular Bronze, Silver and Gold. The features and prices displayed to the customer when the contract is concluded or agreed in an individual offer are decisive.
5.2 Prices are stated in the agreed currency plus legally applicable taxes and charges unless a gross price is expressly agreed. Special VAT rules, including the reverse-charge procedure, may apply to cross-border services.
5.3 Recurring fees are due at the beginning of the respective billing period. Usage-based or one-off fees are billed in accordance with the offer, order or invoice. The customer authorises us to charge the agreed payment methods.
5.4 We may change prices for future billing periods by giving at least 30 days’ notice. If the change is not solely beneficial to the customer or caused by a change in tax, the customer may terminate the affected contract with effect from the date the change enters into force.
5.5 In the event of payment default, we may temporarily suspend access after issuing a reminder and granting a reasonable grace period. The payment obligation and statutory consequences of default remain unaffected.
6 Contract term and termination
6.1 The start date and minimum term are set out in the offer or order. At the end of the agreed contract term, the contract automatically renews each time for the same duration unless it is terminated by observing the agreed notice period to the end of the relevant contract period. Unless otherwise agreed, the contract term is one month and renews for a further month each time.
6.2 A monthly contract may be terminated at the end of the current billing period. For contracts with a different minimum term, the notice periods specified in the offer or order apply.
6.3 The right to terminate without notice for good cause remains unaffected. Good cause exists in particular if a party materially breaches an essential contractual obligation despite a reminder and reasonable grace period, becomes insolvent, or uses the Platform unlawfully or in a manner that endangers security.
6.4 Notices of termination must at least be made in text form or may be submitted through a termination function provided by us.
7 Customer obligations
7.1 The customer uses VELDOO only lawfully and for the agreed purposes. It ensures that its users also comply with these Terms and applicable laws.
7.2 The customer is responsible for the accuracy, lawfulness and quality of its Customer Data. It may process only data for which a sufficient legal basis exists and must duly inform the affected persons.
7.3 Prohibited activities include unauthorised access to systems or data, circumvention of technical restrictions, introduction of malware, abusive bulk access and use of the Platform to infringe third-party rights.
7.4 The customer keeps its devices, internet connections and operational systems in an appropriate state of security. It regularly manages user accounts and permissions and promptly withdraws access from users who have left.
8 Operation maintenance and support
8.1 We operate the Platform with the care appropriate in business dealings. Completely uninterrupted or error-free availability cannot be guaranteed because of maintenance, internet and telecommunications disruptions, third-party services and events beyond our control.
8.2 Where possible, planned maintenance is carried out at times of low usage. Where maintenance materially affects use, we will inform the customer appropriately in advance.
8.3 Support is provided through the channels stated on the website or in the Platform. Response or recovery times apply only where expressly agreed in a service level agreement.
8.4 Events beyond a party’s reasonable control, in particular natural events, government measures, industrial disputes, failures of energy, internet or telecommunications networks and cyberattacks despite appropriate safeguards, extend affected performance periods for the duration of the disruption.
9 Third-party providers and interfaces
9.1 The customer may connect VELDOO to third-party services. The third-party provider’s terms apply to its services. We are not a party to that third-party service unless expressly agreed otherwise.
9.2 Changes, restrictions or failures of a third-party service may impair connected functions. We will endeavour to make reasonable technical adjustments but do not guarantee the continued availability of an independent third-party service.
9.3 The customer authorises us to transmit to and receive from the selected third-party provider the Customer Data required for an activated interface. Details under data protection law are set out in the Privacy Policy and, where applicable, the data processing agreement.
10 Transport services and operational responsibility
10.1 The customer organises and provides its transport services on its own responsibility. It alone is responsible for complying with required licences, permits, insurance and employment-law requirements.
10.2 Contracts with passengers, patients, clients, drivers or other third parties arise exclusively between the customer and the relevant person. VELDOO does not become a party to these contracts and owes neither the performance nor the quality of a trip.
10.3 The customer determines fares, availability, vehicle and driver allocation and the handling of special transport requirements. Automated Platform suggestions must be reviewed by the customer for operational and legal suitability.
11 Customer Data and data protection
11.1 The customer retains its rights in Customer Data. For the term of the contract, it grants us the rights of use required to provide, secure, troubleshoot and further develop the agreed services.
11.2 Where we process personal data on the customer’s behalf, the parties enter into a data processing agreement. The customer remains responsible for the lawfulness of the processing and for its instructions to us.
11.3 We may use anonymised or effectively aggregated information where identification of individuals or specific customers is reasonably excluded. Such information may be used in particular for security, statistics and product improvement.
11.4 Details of processing for which Steinemann - Taxi GmbH is itself the controller are set out in the VELDOO Privacy Policy.
12 Patient transport and sensitive personal data
12.1 Patient transport may involve health information or other sensitive personal data. Before entering such data, the customer must determine whether it is necessary for the specific transport and on what legal basis it may be processed.
12.2 The customer limits information to what is necessary and assigns access rights according to tasks and responsibilities. Diagnoses and medical details must not be entered if a less intrusive note is sufficient for the transport.
12.3 VELDOO processes such data only to provide the Platform and in accordance with the customer’s documented instructions. The customer remains responsible for information duties, consents or other legal requirements and for any required data protection impact assessment.
13 Licence and intellectual property
13.1 For the contract term, the customer receives a non-exclusive, non-transferable and non-sublicensable right to use the agreed functions through its authorised users for its own business purposes.
13.2 All rights in the Platform, software, documentation, design, database structure and the VELDOO name and identifiers remain with us or our licensors.
13.3 The customer may not reproduce, rent, resell, make publicly available, reverse engineer or analyse the Platform for the development of a competing service, except where mandatory law expressly permits this.
13.4 We may use feedback free of charge to improve VELDOO, provided no confidential information of the customer is disclosed.
14 Confidentiality
14.1 Each party treats the other party’s non-public business, technical and organisational information as confidential and uses it only to perform the contract.
14.2 The confidentiality obligation does not apply to information that is publicly known without breach of contract, was already lawfully known, was lawfully obtained from a third party, or was independently developed.
14.3 Disclosures required by law or an authority remain permitted. To the extent legally allowed, the disclosing party informs the other party in advance.
15 Warranty
15.1 The customer must promptly report reproducible errors with the information required for investigation. We will remedy material deviations from the contract within a reasonable period.
15.2 No warranty is given for disruptions caused by the customer’s systems or actions, unapproved changes, improper use or independent third-party providers.
15.3 If the remedy of a material defect repeatedly fails, the customer may reasonably reduce the remuneration or terminate the affected contract for good cause. Further mandatory rights remain unaffected.
16 Liability
16.1 The parties have unlimited liability for damage caused intentionally or by gross negligence and in cases where liability may not legally be excluded or limited.
16.2 In cases of ordinary negligence, we are liable only for breach of an essential contractual obligation. In this case, liability is limited to damage foreseeable when the contract was concluded and typical for a software contract, and in aggregate to the fees paid by the customer in the twelve months preceding the damaging event.
16.3 To the extent permitted by law, liability for indirect or consequential damage and loss of profit is excluded. The limitations also apply for the benefit of our corporate bodies, employees and agents.
16.4 We are not liable for the customer’s transport services, the customer’s content and instructions, or independent third-party services. Any contributory responsibility of the customer, in particular inadequate permission or device security, is taken into account in accordance with the law.
17 Changes to services and terms
17.1 We may amend these Terms for an objective reason, in particular because of changes in law, security requirements, technical development or an expansion of services.
17.2 We notify the customer of changes in text form at least 30 days before they enter into force. If a change materially affects the customer’s contractual position, the customer may terminate the affected contract before the change enters into force.
17.3 Changes that are exclusively beneficial, must be implemented immediately by mandatory law, or contain only editorial corrections may take effect on shorter notice.
18 Final provisions
18.1 Rights and obligations under the contract may be transferred only with the other party’s prior consent. We may transfer the contract to an affiliated company or legal successor provided this does not cause material disadvantage to the customer.
18.2 If any provision is invalid or unenforceable, the remainder of the contract remains effective. The statutory provisions apply in place of the invalid provision.
18.3 Swiss law applies, excluding conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes between businesses is Schaffhausen, Switzerland. Mandatory statutory places of jurisdiction remain unaffected.
18.4 The German version is the binding contractual version. Translations are provided for information unless expressly agreed otherwise.
